ATED is an annual tax on enveloped dwellings applying to companies that hold residential property with a value of at least £500,000. The charge is intended to discourage persons from “enveloping” their homes into companies with a view to reducing the transfer tax charge on a subsequent disposal of that property via a sale of the company. The charge applies equally to UK and non-UK companies. The reason is that if the PropCo is a UK incorporated company, then stamp duty on shares at a flat rate of 0.5% would instead be payable on the purchase price. This compares favourably to the 5% top rates of SDLT for commercial/mixed-use properties, and even more so for the top 19% rate for wholly residential properties.
